Find the Nevada Business Search area. Search by entity name is selected by default. Enter your entity name and click the search button.
I am using US Fiduciary Corporation as an example: The steps are exactly the same for each type of entity until you get to the filing offline then you just have to choose the appropriate annual list to download and fill out to mail in.
Click on your company name
Here you have 3 important pieces of information:
  1. The Calculate list fees button
  2. The Filing Number for your entity
  3. The Due date of your list. (If the secretary of states office RECEIVES your form after 5 pm on that date you are LATE and will have to send them an additional $75)

You also can see that this particular entity is in Default status. This means that the filing of the annual list is late. Revoked means that if you want to bring it current you can, but it will cost you about $500 minimum. Permanently Revoked and you are out of luck the entity cannot be revived.

Filing your list on line can avoid that issue. Your confirmation, receipt and copy of list is usually available for you to download within minutes of filing. There is an added bonus that you can email us the annual list we need for our records since they are delivered to you in PDF format.

Now click on the "Calculate List Fees" button.

Here you are told the fees due that moment to bring the entity current.

Here you choose either File this List Online Now or File Offline.

First let's look at the online filing steps, then we will do offline

When you click on file online the form information is shown as you LAST filed. (you get the opportunity to make changes if you need to so just click file annual list of officers/business license now.
Since this is probably the first time you are here you will need to create an account. It is realatively simple and fast to do...so DO IT! Login and start the filing process.
Double check that this is what you are wanting to do, then click next.
Unless you have a State Business License already (if you do no business inside the state of nevada you probably don't have one) you can't just click next you have to be exempt and I believe code 003 is appropriate since you don't generate ANY income at all in Nevada. You should double check with Nevada. If you already have a State Business License fill in the appropriate information and click next. (note: you will be paying the additional $200 State Business License Fee as well as your annual list fee(s).
Unless you are a publicly traded company (as in..your company is listed on some stock exchange and shares are sold) you will just click next here.
Here is where you get to make changes. Make any needed changes then click next.
Now you have to electronicaly sign. fill in the blanks (Caps lock has to be on, silly but that is the way it is.) Now click next.
You have to accept the terms and conditions to finish. If you accept them, click 'Finish'
Click Add to Shopping Cart. (If you have more than one list to file you can do so before checking out with your credit card)
After you check out you will have to wait a few minutes (15 is the average) to be able to download your filing. You need to go to "Online Services"
Now click on "Annual List Filings"
Click on "Job History"

When your list has been processed it will show up here. Click on the link to download the forms. Print them, File them with your corporate records, Send NPC a copy.
OK For those of you who want to print and mail in your forms. Again we are going to use US Fiduciary, but this time we have to download and fill in the form ourselves. Print it, sign it and mail it to the Secretary of State with the Appropriate Fees.
You have clicked "file offline" here is what you see. The computer takes you to the appropriate section of forms for you to find the one you need. Since we are fling an annual list here is what you see:
Click on the link for the Annual List of Officers and Directors - Profit Corporation (Unless you are a non-profit then use the annual list for non profit)

All the information you need is on the page where you chose to file offline.

I strongly suggest you copy and paste the entity name and file number.

The filing period is the month you must file in thru one year later. In US Fiduciarys Case the filing period would be March 2009 to 2010

Check the Return one file copy box.

Fill in your Offier and Director Information

Print and sign with title and date

Take 2 copies, one for your records, one for NPC and the original is sent along with appropriate fees to the Secretary of State's Office. Remember to include a check or money order. If you are going to pay by credit card, I suggest you file online.
